   Terms of Use

     Completion and submission of your online or offline enrollment indicates that you have read,
     fully understand, agree and accept the following Terms and Conditions as a Customer,
     Member/Affiliate.

     Each Customer, Member/Affiliate agrees to all the terms and conditions contained herein and
     holds NpnGoldTeam.com free from any and all liability that may result from this agreement
     between the Customer, Member/Affiliate and NpnGoldTeam.com.

     Independent Affiliate
     Customers and Members may sign up as Affiliates at no additional charge with
     NpnGoldTeam.com. Affiliates earn commissions on the sales of services offered by
     NpnGoldTeam.com. (See the Pay Plan for complete details).

     As an Affiliate, you agree that you are an independent contractor and are not subject to
     withholding, nor entitled to any other benefits, entitlements, or accommodations other than
     those legally provided for in the compensation plan.

     All liabilities for taxes, record keeping, reporting of state, national, or local taxes and/or
     licenses is the sole responsibility of the Affiliate.

     Guaranteed Income
     As an Independent Member/Affiliate you agree that neither NpnGoldTeam.com nor any of its
     members/affiliates have guaranteed or implied any income, whatsoever. Any income that may
     be received by you as an Independent member/affiliate will be solely based upon the sale of
     NpnGoldTeam.com e-book promotions.

     As an Independent Member/Affiliate of NpnGoldTeam.com, you agree you will not make any
     claims of income, or guarantee of income, either directly or indirectly.

     Corporate promotional material
     All promotional material for promoting NpnGoldTeam.com is provided by the company.
     However, Members/Affiliates may promote NpnGoldTeam.com using their own generic referral
     methods as long as the generic advertising (email, ads, solos ads, etc) is within company
     guidelines of income projections etc. Using the name of the company NpnGoldTeam.com in any
     and all forms of advertising is strictly prohibited.

     Use of company name
     As an Independent Member/Affiliate of NpnGoldTeam.com you agree NOT to use the company
     name in ANY form of advertising whatsoever, electronic, written, recorded etc.

     Spam Policy
     In order to protect our members/affiliates and to ensure the long-term growth and success of
     NpnGoldTeam.com, the company maintains a ZERO tolerance policy toward the sending of
     spam email. Spam email is defined as Unsolicited Commercial Email (UCE). In the event that
     you send spam email to people without their permission, you risk immediate cancellation of
     your account and forfeiture of all contacts in that account. As a member/affiliate, you
     understand that NpnGoldTeam.com neither condones nor tolerates the sending of unsolicited or
     spam email by its members/affiliates. You understand and acknowledge that:

     Any Member/Affiliate who violates this policy will have their account terminated, without
     refund, and without recourse.

     Adult, hate, violence, pornography, obscene or illegal matter
     Any and all material containing adult, hate, violence, pornography, obscene or illegal matter is
     strictly prohibited. Therefore any link submitted that contains any such material will be
     immediately deleted. The Member/Affiliate agrees to indemnify and hold harmless
     NpnGoldTeam.com from any claims resulting from the use of the service that damages to other
     Members/Affiliates, Customers or any other parties.

     Billing
NpnGoldTeam.com shall initiate debits or request payment for e-book rebranding and resale
     rights fees to Customer and Member/Affiliate account on a one-time basis. Customers and
     Members/Affiliates are responsible for providing and maintaining up-to-date payment information.
     NpnGoldTeam.com will not be held liable should Customer’s or Member’s/Affiliate’s payment
     information become outdated, invalid, or inaccessible at Clickbank for any reason.

     Accounts are in default if the payment information on file becomes outdated, invalid, or
     inaccessible.

     Affiliate responsibilities
     It is the Customer and the Member/Affiliate’s responsibility to maintain his/her profile with the
     most recent and current information. This includes a complete mailing address, email address,
     payment information, and Social Security number, if applicable. All liabilities for taxes, record
     keeping, reporting of state, national, or local taxes and/or licenses is the sole responsibility of
     the Member/Affiliate. This includes any and all affiliate information on Clickbank.

     Commission earnings
     NpnGoldTeam.com pays commissions to qualified Members/Affiliates based on the sales of
     the rebranding and resale rights to the 9-page income-producing affiliate-sponsoring e-book.
     NpnGoldTeam.com does not pay commissions based solely on recruiting other
     Members/Affiliates.

     Earned Commissions will be paid to U.S. and International Members/Affiliates who qualify to
     receive commissions. Members/Affiliates will be paid using Clickbank. It is the responsibility of
     the Member/Affiliate to keep their own information current and up-to-date to make sure payment
     can be received by them. There are no exceptions.

     NpnGoldTeam.com uses what we believe to be the best online Payment Processor to fit the
     needs of the company, its customers and members/affiliates. NpnGoldTeam.com takes no
     responsibility for the actions, reliability, or accessibility of any online payment processor. Once
     NpnGoldTeam.com sends Member/Affiliate commissions to the online payment processor
     account, said commissions for that member/affiliate will be deemed to have been paid in full
     without recourse to NpnGoldTeam.com for any reason whatsoever.

     Refunds
     There are absolutely no refunds given. Members/Affiliates are paying to have their e-book
     rebranded.

     Communication with Affiliates
     All personal information submitted from Customers and Members/Affiliates is kept in strict
     confidence and is not sold or shared with any third party.

     Customers and Members/Affiliates agree to accept all communication from NpnGoldTeam.com.
     Communication may be in the form of email communication, at the email address listed. Such
     communication shall include, but not be limited to program updates, sales material, new product
     announcement, enrollment notification, billing statements, commission reports, collections, record
     keeping, etc.

     Term and Termination
     This agreement is effective until terminated. A Member/Affiliate may terminate this
     agreement by notifying the company of their cancellation. Member’s/Affiliate’s rights under
     this agreement will terminate immediately without notice from NpnGoldTeam.com if a
     member/affiliate fails to comply with any provision of this agreement.

     Warranties
     NpnGoldTeam.com makes no warranties of any kind, whether expressed or implied, for the
     service(s) or information it is providing. NpnGoldTeam.com will not be responsible for any
     damage suffered. This includes loss of data resulting from interruptions, delays, non-deliveries,
     mis-deliveries or service caused by any Member/Affiliate errors or omissions, loss of electricity
     or natural phenomenon. Use of any information obtained via NpnGoldTeam.com is at your own
     risk. NpnGoldTeam.com specifically denies any responsibility for the accuracy or quality of
     information obtained through its services. NpnGoldTeam.com is not responsible for any data loss
     due to computer glitches or other instances that may be out of the control of NpnGoldTeam.com.

     Modification of services
     All Customers and Members/Affiliates acknowledge and agree that NpnGoldTeam.com may,
     with or without notice, modify, delete, or amend the Services, Commissions, Marketing material,
     and/or Website provided hereunder. Further, Customers and Members/Affiliates acknowledge
     and agree that NpnGoldTeam.com may further modify, delete or amend the Terms of
     Agreement from time to time, including charging or changing a fee or fees for some services.
     In either event, NpnGoldTeam.com will notify Customers and Members/Affiliates of any
     modification, deletion or amendment on the Website, or by email. If Customer or
     Member/Affiliate does not accept the modification, deletion or amendment, Customer or
     Member/Affiliate must terminate Customer's or Member’s/Affiliate’s relationship at that time.
     Any and all use of the Website or the Services by Customer or Member/Affiliate after the
     notice is posted shall be deemed to be acceptance of the modification, deletion or amendment
     (as well as all other terms and conditions) to the Services, Website or Terms of Agreement.

     Limitation of Liability
     To the fullest extent permissible pursuant to applicable law, neither NpnGoldTeam.com nor any
     parent entities, affiliates, officers, or employees shall be liable for any direct, indirect, special,
     incidental, consequential or punitive damages arising out of customer’s or member’s/affiliate’s
     access to, use of, inability to use, or reliance on the service, the materials on or through the
     service or the website, or with any of the terms of agreement. Customer’s and
     member’s/affiliate’s sole and exclusive remedy is to discontinue using the service and
     website.

     Should any provision of this agreement be held to be illegal, invalid, or unenforceable by a
     court of law, the legality, validity and enforceability of the remaining provisions of this
     agreement shall remain unaffected thereby unless otherwise stated.

     This agreement shall be governed by the laws of the State of Minnesota and the United
     States.

     These Terms and Conditions, last modified on October 15, 2007, supersede all previous
     representations, understandings or agreements and shall prevail notwithstanding any variance
     with terms and conditions of any order submitted. Use of NpnGoldTeam.com services
     constitutes acceptance of these Terms and Conditions.
